("OSI") THROUGH THIS WEBSITE ARE SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS UNLESS SUCH PURCHASES ARE SPECIFICALLY COVERED BY ONE OF THE PROCUREMENT VEHICLES IDENTIFIED ON THIS SITE, IN WHICH CASE THESE TERMS AND CONDITIONS CONTROL TO THE EXTENT NOT OTHERWISE PRE-EMPTED BY THE RELEVANT PROCUREMENT VEHICLE.

Warranty
OSI STATES THAT ALL GOODS PURCHASED THROUGH THIS WEBSITE SHALL BE SUBJECT TO THE MANUFACTURER'S WARRANTY FOR ITS PRODUCTS WITH RESPECT TO QUALITY AND WORKMANSHIP. OSI FURTHER STATES THAT ALL SERVICES PROVIDED BY OSI WILL BE PERFORMED IN A WORKMANLIKE MANNER WITHOUT ANY MATERIAL ERRORS OR OMISSIONS. IN THE EVENT OF A BREACH OF OSI'S SERVICE WARRANTY, THE CUSTOMER'S SOLE RECOURSE SHALL BE OSI'S OBLIGATION TO PROMPTLY RE-PERFORM ANY SERVICE FOUND TO BE IN MATERIAL BREACH DUE TO OSI'S FAILURE TO PROPERLY PERFORM SAID SERVICE PROVIDED THAT CUSTOMER SHALL NOTIFY OSI IN WRITING OF SUCH BREACH WITHIN TEN (10) BUSINESS DAYS OF OCCURRENCE. EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN THIS WARRANTY, OSI HEREBY DISCLAIMS ANY AND ALL EXPRESS AND IMPLIED WARRANTIES RELATING TO THE GOODS AND SERVICES SOLD HEREUNDER INCLUDING AND WITHOUT LIMITATION, ALL WARRANTIES CONCERNING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

Limitation of Liability
Notwithstanding any other provision relating to the purchase of any good or service from OSI, customer agrees that in the event of any act or omission by OSI, including without limitation breach of contract, tort, strict liability or other claim arising from or relating to any purchase of goods or services from OSI that the Customer's sole recourse is as provided in these Terms and Conditions. Customer further agrees that in no event shall OSI be liable to Customer, or any third party, for consequential, indirect, special or punitive damages arising from or relating to any purchase of goods or services from OSI. In addition to those limitations specifically set forth in the Warranty article above, Customer agrees that in no event shall OSI be liable to Customer, or any third party, for any amount exceeding the purchase price paid by the Customer for the particular good(s) or service(s) giving rise to any claim.

Venue
Customer agrees that in the event of any dispute arising under or relating to the Customer's purchase of goods or services from OSI that in the event that the parties first cannot amicably resolve their differences, that any action will be brought in either the United States District Court for the Eastern District of Virginia, Alexandria Division, or the Circuit Court for Fairfax County, Virginia. Customer agrees to waive all challenges to personal jurisdiction, venue and/or forum non conveniens in either of these courts.

Choice of Law
The parties agree that any purchase of goods or services from OSI shall be deemed to be a contract formed in the Commonwealth of Virginia regardless of the location of delivery of such goods or the performance of such services. The parties further agree that in the event of any dispute arising from the purchase of such goods or services from OSI, that the laws of the Commonwealth of Virginia shall apply to such purchase of goods or services from OSI, and the dispute arising therefrom, except those provisions of such law relating to the conflicts of law.

Binding Nature of These Terms and Conditions
By purchasing any goods or services from OSI through this Website, the Customer expressly agrees to each of the foregoing Terms and Conditions governing such purchase or order. As an expression of the Customer's intent to be so bound, the Customer's submission of any order is conditioned on said Customer's agreement to these Terms and Conditions. The Customer's express agreement to OSI's Terms and Conditions are a material element to OSI and OSI's acceptance of any order for goods or services relies on the Customer's acceptance of these Terms and Conditions as a necessary condition precedent to OSI's acceptance of said order.

Complete Agreement
The parties acknowledge that these Terms and Conditions express the final agreement of these parties with respect to such Terms and Conditions governing the Customer's order and purchase from OSI of the goods and/or services selected by Customer (whether the goods and/or services were selected before or after Customer accepted these Terms and Conditions). These Terms and Conditions replace any and all prior or contemporaneous agreement between these parties with respect to Customer's purchase of goods and/or services from OSI. The parties further agree that the only manner in which these Terms and Conditions may be amended is in a writing signed by an authorized officer of OSI Federal.
